Your clients want private markets.Your operations don’t.

Yooro turns a private opportunity into one bankable security. Your clients invest through their existing bank, the position sits in their custody account, and the capital stays in your AUM.

The problem

Client demand is not the constraint. Four barriers are.

Over half of affluent wealth clients hold 3% or less in private assets, while about half of UHNW clients already allocate more than 10%.

  1. Custody barriers

Private contracts and bespoke SPVs often can’t be booked by custodians, so assets leave your book.

  2. Regulatory hesitation

Unregulated or opaque structures are hard to recommend, especially across the EEA, Switzerland and the UK.

  3. Weak collateral and transfer profile

Private agreements are hard to value, hard to pledge and hard to pass to the next generation.

  4. An operational load that compounds per client

Diligence, documents, capital calls and reporting multiply with every account.

Imagine instead: one security, one ISIN, bookable in custody, subscribed by every eligible client in minutes.

The legacy routes leave the barriers standing.

Private contracts, bespoke SPVs and feeders each cost you custody, time or standardisation.

The solution

One opportunity, as a security banks can hold.

Yooro turns a private opportunity into an EU bankable debt security, issued by a segregated compartment of a Luxembourg securitization vehicle. Live today.

  1. Compartment created

A ring-fenced compartment is set up for your allocation in Yooro’s Luxembourg vehicle.

  2. Note issued

The compartment issues a debt security with an ISIN to professional investors.

  3. Clients subscribe

Eligible clients subscribe to the same note through one flow, from EUR 25K.

  4. Held in custody

Clients hold the note through their existing custody arrangements.

  5. Lifecycle handled

Yooro administers the compartment, servicing and reporting through to maturity.

What this unlocks

What this unlocks for you.

  1. Keep the assets on your book

A custody-ready security with an ISIN that private banks and custodians can book, instead of an off-book private contract.

  2. Onboard clients in minutes, not weeks

One standardised subscription flow for every eligible client, instead of separate diligence and documents per account.

  3. Offer the same allocation from EUR/USD 25K

Include clients whose ticket size falls below conventional private market minimums.

  4. Standardise your private markets offering

One repeatable framework across client segments and jurisdictions, instead of bespoke paperwork per deal.

  5. Structure incentives transparently

Sourcing and performance economics documented in the instrument’s terms rather than in side arrangements.

  6. Hand off the lifecycle

Yooro administers servicing, corporate actions and reporting with institutional discipline.

Economics

Transparent from EUR 2.5M. Thinner as you grow.

One compartment serves every eligible client in the allocation, so the fixed cost is shared rather than repeated per account.

Structure & FAQ

Built on Luxembourg law. The questions we get first.

  • Ring-fenced by statuteEach compartment is segregated under the Luxembourg Securitization Law of 22 March 2004.
  • Professional investors onlyOffered under Prospectus Regulation exemptions, with no public prospectus.
  • You remain the intermediaryYooro does not interpose itself in your client relationship.

Is this live today?

Yes. 20 notes issued and USD 85M+ under service, all through Yooro’s hosted issuance workflow. The self-serve app is on the roadmap; the issuance service is not.

Can my custodian book it?

The notes are issued as debt securities with an ISIN and are designed to be held through standard custody channels. Acceptance remains subject to each institution’s own onboarding and eligibility policies.

Does using Yooro change my regulatory position?

Yooro provides issuance and administration infrastructure and does not promote, place or distribute the notes or any underlying investment. You remain the intermediary in your client relationship, and access is restricted to professional investors.

Is the compartment a fund?

No. Each compartment tracks a single, pre-identified investment fixed in the Final Terms: no further investments, no asset selection, no discretionary management. Noteholders exercise the key decisions on the underlying.

What happens to noteholders if Yooro ceases operations?

Each compartment is segregated by law under the Luxembourg Securitization Law of 22 March 2004: its assets are reserved to that compartment’s noteholders and unavailable to creditors of Yooro or of other compartments.

What does it cost all-in?

From ~1.6% p.a. at the EUR 2.5M minimum to ~0.4% p.a. at EUR 10M, shared across all subscribing clients. See the Pricing page for the full schedule.

Can clients subscribe outside the banking channel?

Optionally, yes. Through the Baund app, professional investors register, complete qualification and subscribe at their own initiative to a tokenized version of the note, in fiat or selected crypto, with the noteholder register on an open public DLT. It is fully additive: the standard bank and custody route needs no tokenization.
