The problem
The demand is arriving at your front office. Four barriers keep it off the shelf.
1 in 4 affluent wealth clients hold no private markets at all, and over half hold 3% or less.
- HNW clients targeting 10%+ in private assets, today and expected
- 22% → 40%
- of surveyed private banks and wealth managers have no evergreen funds on the shelf
- Half

Custody constraints
Many private market investments aren’t custody eligible, forcing assets off platform and eroding AUM.
Product governance complexity
MiFID product approval is hard to apply to bespoke SPVs, private contracts or offshore structures.
Operational fragmentation
Every opportunity brings its own documents, onboarding and lifecycle, and every client placed directly adds load.
Lengthy approval cycles
Non-standard structures need extended reviews by compliance, legal and risk.
Imagine instead: your selection as one ISIN, one documentation standard, held in custody like any other line.
Why a security
The legacy routes leave the barriers standing.
Bespoke structures and direct fund access each cost you custody, approval time or operational load.

The solution
Your selection, as a security your bank can hold.
Yooro turns a private opportunity into an EU bankable debt security, issued by a segregated compartment of a Luxembourg securitization vehicle. The bank keeps the client relationship. Yooro issues and administers.
Opportunity selected
Your bank selects the opportunity, fixed in the Final Terms.
Compartment created
A ring-fenced compartment is set up in Yooro’s Luxembourg vehicle.
Note issued
The compartment issues a debt security with an ISIN to professional investors.
Product approval
Standardised documentation and target market information support your product governance.
On your shelf
Your bankers offer the note to eligible clients, who hold it in custody alongside their other positions.
Lifecycle handled
The compartment is the single party facing the underlying. Yooro administers servicing and reporting.
What this unlocks
Six things your bank can say yes to.
Keep private assets on your platform
A security with an ISIN, designed to be booked and reported through standard custody channels, instead of an off-platform private contract.
Give your product committee a repeatable template
The same documentation standard and target market information for every opportunity. The approval, target market and suitability assessments remain your own.
Go from selection to shelf in weeks
2 to 3 weeks from selection to live subscription in live deployments.
Keep the operational load off the bank
The compartment is the single investor in the underlying, so your clients never enter the deal one by one.
Turn your own convictions into shelf products
Structure each selection as its own note, on a repeatable basis, and offer it across your client base and jurisdictions.
Keep the economics transparent
Structural costs and your distribution remuneration set out clearly in the instrument’s documentation.
The proof
Banca Investis put its own selection on the shelf in 2 to 3 weeks.
One of 20 notes issued to date. The selection stayed theirs.

- In custody
Late-stage US venture deals that were only accessible through bespoke private agreements, now held in custody at the bank alongside clients’ other positions.
We wanted to bring something genuinely different into our clients’ portfolios, and we wanted to arrange the deals ourselves. Yooro helped us to turn each of our selections into a note that our professional clients could easily buy and hold in custody with everything else they own.
Economics
Paid by the investors, through the compartment.
Both the setup fee and the maintenance fee are paid by the investors, i.e. the compartment. Structural costs and your distribution remuneration are set out in the instrument’s documentation.

Is this live today?
Yes. 20 notes issued and USD 85M+ under service, all through Yooro’s hosted issuance workflow. The self-serve app is on the roadmap; the issuance service is not.
Can our custody book it?
The notes are issued as debt securities with an ISIN and are designed to be held through standard custody channels. Acceptance remains subject to each institution’s own onboarding and eligibility policies.
What is the legal basis?
Ring-fenced compartments under the Luxembourg Securitization Law of 2004. Notes are offered to professional investors under Prospectus Regulation exemptions. Single-class issuances without tranching are structured to fall outside the scope of the EU Securitization Regulation (2017/2402).
What happens to noteholders if Yooro ceases operations?
Each compartment is segregated by law under the Luxembourg Securitization Law of 22 March 2004: its assets are reserved to that compartment’s noteholders and unavailable to creditors of Yooro or of other compartments.
